Job Description / Responsibilities
·
Shall be well versed with the NSE, BSE & SEBI regulations
and compliance thereof
·
Administering and monitoring the Company’s Compliance Tool including
tracking compliance status across all departments and coordinate with
functional departments heads to ensure timely closure of compliances.
·
Possess sound knowledge of RBI - ODI filings and related
compliances.
·
Liaison with NSDL and CDSL for e-voting related matters and AGM
related matters.
·
Sound knowledge of e-voting process, including VC/OAVM meetings
·
Drafting of notice and minutes for shareholder’s meeting, and
execute Postal Ballot processes, including drafting of notice, coordination
with Depositories, Scrutinizer.
·
Assistance in conduct of Board, Committee and Shareholders
Meetings
·
Drafting of notes to agenda and minutes of Board meeting or
committee thereof
·
Preparation and filing of various e-forms and returns on MCAV3
portal
·
Maintain and update Statutory Registers, Declarations, Reports,
Documents etc. under the SEBI (LODR) Regulations and Companies Act, 2013
·
Shall be well versed with secretarial audits & Due diligence
etc.
·
To handle the annual filings in XBRL mode
·
Compliance for issue, offer, allotment, transfer of equity and
preference shares
