Role Overview
We are looking for an experienced Legal Counsel to support our fast-growing fintech business. The role will focus on
M&A, fundraising, client and commercial contracts
, and ongoing legal advisory across business, product, and leadership teams. This is a high-impact role requiring strong deal execution, negotiation skills, and comfort working in a regulated, fast-paced environment.
Key Responsibilities
Corporate, M&A & Fundraising
Lead and support
mergers, acquisitions, strategic investments, and partnerships
, including due diligence, structuring, and transaction documentation.
Manage
fundraising transactions
(equity, debt, structured instruments), including term sheets, SHA, SSA, and closing documentation
Coordinate with external counsels, investors, founders, and internal stakeholders during transactions
Contracts & Commercial Negotiation
Draft, review, and negotiate
client contracts
, vendor agreements, partnership agreements, NDAs, SLAs, and MSAs
Support enterprise and institutional client negotiations with a strong understanding of commercial and risk implications
Ensure contracts align with business objectives while managing legal and regulatory risks
Regulatory & Advisory
Provide legal guidance on
fintech regulatory frameworks
, RBI guidelines, data protection, and compliance-related matters
Advise product, operations, and business teams on legal risks and mitigations
Support internal governance, board matters, and corporate secretarial requirements
Stakeholder Management
Act as a trusted legal advisor to founders, leadership, and cross-functional teams
Liaise with external law firms, auditors, and consultants as required
Required Skills & Qualifications
LL.B / LL.M from a recognized university
6–10 years of post-qualification experience
Strong hands-on experience in
M&A, fundraising, and contract negotiation
Experience working with or advising
fintech, financial services, or start-up ecosystems
Ability to balance legal rigor with business pragmatism
Excellent drafting, negotiation, and communication skills
Good to Have
Prior in-house experience at a fintech, NBFC, bank, or regulated entity
Familiarity with RBI regulations, payments, lending, or prepaid instruments
Experience supporting high-growth or venture-backed companies
