This role will focus on negotiating and managing SaaS&nbsp;and&nbsp;procurement&nbsp;contracts, partnering closely&nbsp;with&nbsp;Procurement, Finance, and other cross-functional teams to enable business growth while managing legal risk.&nbsp;<br>The ideal candidate brings deep experience in enterprise SaaS contracting, strong business acumen, and a collaborative mindset.&nbsp;</p> <p>&nbsp;</p> <p><strong>Key Responsibilities:</strong>&nbsp;</p> <ul> <li>Lead negotiation and drafting of enterprise-level Master Services Agreements (MSAs), SaaS subscription agreements, statements of work (SOWs), NDAs, purchase orders, order forms, reselling/partner agreements, and other commercial contracts.&nbsp;</li> </ul> <ul> <li>Provide hands-on legal support for SaaS vendor contracts, including technology, software, and tools&nbsp;procured&nbsp;by internal team.&nbsp;</li> </ul> <ul> <li>&nbsp;Partner closely with Procurement and Finance to ensure risk mitigation, alignment with budgetary requirements, and seamless onboarding of vendors&nbsp;</li> </ul> <ul> <li>Negotiate and advise on security exhibits, DPAs (Data Processing Agreements), SLAs, and related privacy and data protection terms.&nbsp;</li> </ul> <ul> <li>Provide&nbsp;strategic legal advice to senior leadership on commercial transactions and business initiatives.&nbsp;</li> </ul> <ul> <li>Support and structure partnership and strategic agreements to achieve the best commercial outcomes for the company.&nbsp;</li> </ul> <ul> <li>Collaborate with cross-functional stakeholders including Sales, Product, Security, Finance, and Procurement.&nbsp;</li> </ul> <ul> <li>Structure, negotiate, and&nbsp;finalize&nbsp;partnership, reseller, and channel agreements, ensuring commercial advantage and alignment with company strategy.&nbsp;</li> </ul> <ul> <li>Help build scalable contracting processes, templates, playbooks, and negotiation guidelines to reduce time-to-contract.&nbsp;</li> </ul> <ul> <li>Identify&nbsp;legal risks and propose pragmatic solutions aligned with company goals.&nbsp;<br>&nbsp;</li> </ul> <p><strong>Qualifications:</strong>&nbsp;</p> <ul> <li>Law degree from an accredited institution, LL.M in corporate law is a plus.&nbsp;</li> </ul> <ul> <li>5-6+ years of post-qualification experience, preferably in-house at a SaaS or technology company.&nbsp;</li> </ul> <ul> <li>Demonstrated experience negotiating complex enterprise technology contracts.&nbsp;</li> </ul> <ul> <li>Strong understanding of SaaS business models.</li> <li>Prior experience supporting sales, procurement, and finance teams.&nbsp;</li> </ul> <p>&nbsp;</p> <p><strong>Skills and Competencies</strong>&nbsp;</p> <p><strong>Technical Skills</strong>&nbsp;</p> <ul> <li>Expertise&nbsp;in commercial contracting, including complex MSAs, Professional Service Agreements, Reseller/Partner Agreements.&nbsp;</li> </ul> <ul> <li>Familiarity with data privacy, security requirements, and regulatory compliance relevant to SaaS industry.&nbsp;&nbsp;</li> </ul> <ul> <li>Strong Drafting, redlining, and risk-analysis abilities.&nbsp;</li> </ul> <p><strong>Business and Soft Skills</strong>&nbsp;</p> <ul> <li>Strong commercial and strategic mindset combined with integrity and a pro-active and responsible approach to the role of an in-house counsel.&nbsp;</li> </ul> <ul> <li>Strong analytic skills to&nbsp;identify&nbsp;risk, evaluate associated risk mitigation actions and clearly summarize complex topics and needs.&nbsp;</li> </ul> <ul> <li>Strong interpersonal skills to collaborate effectively with cross-functional teams.&nbsp;</li> </ul> <ul> <li>Excellent communication skills (written and verbal).&nbsp;</li> </ul> <ul> <li>Proven ability to manage multiple priorities in a fast-paced, high-growth SaaS environment.&nbsp;</li> </ul> <ul> <li>Curious and investigative approach to matters, daring to ask the right questions and&nbsp;look into&nbsp;details.&nbsp;</li> </ul> <ul> <li>Ability to work independently&nbsp;</li> </ul> <ul> <li>Collaborative approach working closely together with stakeholders from legal, operational and management.&nbsp;</li> </ul> <ul> <li>Interested in understanding our business and developing relationships with people from all levels of legal and operational teams.
