Professionals in the Division assess and actively manages risk, trade securities, and structure as well as execute innovative transactions in the fast-paced and constantly changing global markets. As the needs of our clients become increasingly complex, we often develop customized solutions.   Background on the Team     The Institutional Securities Documentation (“ISD”)  team sits within FID’s Business Control Unit (“BCU”) and is a first line team comprised of Non-Market Risk (Operational Risk), Counterparty Risk, Conduct Risk and Contract Negotiations.  The ISD Team covers the contract negotiation function for trading agreements for FID.   The FID ISD team is currently looking for a derivatives and financing documentation negotiator. The role will involve daily interaction and collaboration with Sales & Trading, Risk Management, Credit Risk, Legal, Operations and myriad other ISG stakeholders, as well as daily and direct engagement with clients and their counsel. ISD is a global team based in several locations (including New York, London, Hong Kong, Tokyo, Mumbai Budapest and Singapore) and the broader Mumbai ISD team works closely with each of the regional teams supporting the Fixed Income Division in the Americas, EMEA and Asia-Pacific. We are looking for an individual to join the Mumbai ISD team supporting the Americas or EMEA region.   Primary Responsibilities   Drafting and negotiating legal documentation (including master agreements, amendments and ancillary documents - CDEAs, DRAs etc) required for OTC derivatives, repurchase or stock loan transactions. Handling client negotiations and any related projects to ensure timely execution and completion. Review and analyse legal documentation to determine capacity and authority to enter into OTC derivatives transactions, repurchase or stock loan transactions. Identifying necessary documentation for the clients to trade securities or OTC derivatives and perform related due diligence scans. Actively participate in global team projects on initiatives such as risk management, regulatory-driven projects, etc. and ensuring timely execution and completion. Liaise with clients, business units, external legal counsel, risk management and other infrastructure groups within the firm (e.g. Operations, Tax, Credit, etc) throughout the negotiation process, including analyzing and presenting negotiation issues to relevant stakeholders. Understanding and adhering to established procedures. Communicating with clients and external counsel. Update internal systems regarding negotiation status, documentation database, project trackers, etc. Handle post-negotiation matters including arranging for signing, coordinating the filing of electronic documents and original documents, dispatching documents to counterparties, etc. Provide mentoring, training and coaching for junior team members Responding to queries on the master documentation from various departments including business functions   Skills required   Law graduate with experience/knowledge in the ISDA Master Agreement and/or other derivatives documentation. Demonstrated ability to lead and manage teams effectively, ensuring alignment with organisational goals while fostering professional growth. International work experience is preferred. Excellent oral and written communication skills; be prepared to speak to clients (internal and external) at all times. Proficiency in English is a must.  Good team player. Solid quantitative skills and strong interest in business, economics and law. Willingness and ability to provide quality service to the Firm's clients and to promote and enhance the Morgan Stanley franchise. Willingness to work in dynamic environment and the ability to excel under pressure. Proficiency and interest in technology and systems development. Essential Characteristics: Organized, pro-active, ability to multi-task and work efficiently, detail-oriented and self-sufficient.
